» Name Availability
- Prior to filing for incorporation, it is necessary to check with
the Arizona Corporation Commission to make sure that the name to
be used for the corporation is not already in use and is available.
Arizona Paralegal Services, Inc. performs this service before beginning
the incorporation process.
» Preparation of Articles of Incorporation
- Based on the information given to us by the client, Arizona Paralegal
Services, Inc. will prepare the Articles of Incorporation which
are then filed with the Arizona Corporation Commission. The filing
fee that is required to be paid at that time is $60.00. The Articles
describe such things as the purpose of the corporation, the number
of shares of authorized stock, the par value of the stock, the initial
board of directors, and the name and address of the statutory agent.
» Statutory Agent Consent Form
- Every corporation must have someone upon whom notice to the corporation
may be served. This person is the corporation's statutory agent.
» Certificate of Disclosure
- Along with the Articles of Incorporation, it is also necessary to
file a Certificate of Disclosure with the Arizona Corporation Commission.
This form discloses, among other things, such things as prior bankruptcies
and the criminal histories of the incorporators. Although this form
does not have to be filed for 90 days from the time of filing the
Articles, Arizona Paralegal Services, Inc. will also prepare and
file this form at the time of filing of the Articles of Incorporation.
» Publication
- Within sixty (60) days from the date of filing the Articles with
the Arizona Corporation Commission, they will need to be published
in a newspaper of general circulation giving the public notice of
the formation of the corporation. Arizona Paralegal Services, Inc.
works closely with three different publications in the Tucson, Phoenix,
Sierra Vista and Flagstaff areas to perform this service, meeting
this requirement. An affidavit of publication from the newspaper
must then be filed with the Arizona Corporation Commission within
ninety (90) days from the date the Articles were filed.
Arizona law requires that corporations prepare minutes of the shareholders
and board of directors on a regular basis. Proper record keeping
is essential, and in fact, a lack of proper records can open the
door for legal problems. Arizona Paralegal Services, Inc. can help
you prevent this possibility and will perform this service for your
corporation on an annual basis.
» Statutory Agent
- All corporations must have an individual who is willing to accept
service on behalf of the corporation. This person is the corporation’s
Statutory Agent.
» “S” Corporations
- After the corporation has been properly formed, Arizona Paralegal
Services, Inc. can assist you in preparing the necessary documents
to obtain S corporation status with the Internal Revenue Service.
Form 2553 must be completed and filed with the Internal Revenue
Service. This form must be filed on or before the 15th day of the
3rd month of the taxable year of the corporation for which the election
is being made. We suggest that a client consult with an attorney
or CPA regarding whether or not to file the Form 2553.
